Welcome to ModaBold. These Terms of Service (“Terms”) form a legally binding agreement between you (“you,” “your,” or “customer”) and ModaBold, a brand operated by Azinko LLC (“ModaBold,” “Company,” “we,” “us,” or “our”), governing your access to and use of the website located at modabold.com and all related pages, features, content, products, and services (collectively, the “Site” and “Services”). Please read these Terms carefully before using the Site or placing an order.

By accessing, browsing, registering for an account, or purchasing any product through the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, Shipping Policy, and Returns & Refunds Policy, each of which is incorporated into these Terms by reference. If you do not agree with any part of these Terms, you must not access or use the Site.

1. Agreement to Terms

These Terms apply to all visitors, users, and customers of the Site. By using the Site, you affirm that the information you provide is accurate and that you will use the Site only in accordance with these Terms and all applicable laws. We reserve the right to deny access to the Site or Services to anyone, at any time, for any lawful reason.

2. Definitions

• “Content” means all text, images, graphics, logos, designs, photographs, video, audio, software, and other materials available on the Site.
• “Order” means a request submitted by you to purchase one or more products through the Site.
• “Products” means the apparel and related goods we offer for sale through the Site.
• “User Content” means any content you submit, post, or transmit to or through the Site, including reviews, comments, photos, and messages.
• “You” and “your” refer to the individual or entity accessing or using the Site.

3. Changes to These Terms

We may modify, amend, or update these Terms at any time and at our sole discretion. When we make changes, we will revise the “Last Updated” date at the top of this page. Any changes become effective immediately upon posting unless otherwise stated. It is your responsibility to review these Terms periodically. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.

4. Eligibility and Account Registration

To use the Site and place an Order, you must be at least 18 years of age, or the age of majority in your jurisdiction, and able to form a legally binding contract. By using the Site, you represent and warrant that you meet these requirements.

Certain features may require you to create an account. When you register, you agree to provide accurate, current, and complete information and to keep it updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@modabold.com of any unauthorized access or use. We are not responsible for any loss or damage arising from your failure to protect your credentials. We may suspend or terminate your account at any time if we believe you have violated these Terms or provided false information.

5. Limited License to Use the Site

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use. This license does not include any right to resell or commercially use the Site or its Content; to collect or use product listings, descriptions, or prices for commercial purposes; to make derivative use of the Site or its Content; or to use any data mining, robots, scrapers, or similar tools. Any unauthorized use terminates this license.

6. Products, Descriptions, Colors, and Sizing

We make every reasonable effort to display and describe our Products accurately, including their colors, materials, measurements, and features. However, we cannot guarantee that the colors and details shown on your device will be accurate, as these depend on your screen, settings, and other factors outside our control. Slight variations in color, texture, measurement, and appearance may occur and are not considered defects. Sizing may vary between styles; we encourage you to consult any size guidance provided. All Products are offered subject to availability, and we reserve the right to discontinue or modify any Product at any time without notice.

7. Pricing, Taxes, and Currency

All prices are displayed in US dollars (USD) and are exclusive of applicable taxes unless otherwise stated. Sales tax is calculated and applied at checkout based on your shipping destination and applicable law. Prices and promotions are subject to change at any time without notice. While we make every effort to ensure prices are accurate, errors may occur. If a Product is listed at an incorrect price due to a typographical, system, or other error, we reserve the right to refuse or cancel any Order placed for that Product, whether or not the Order has been confirmed and your payment processed. If your payment has already been charged and we cancel the Order, we will issue a refund to your original payment method.

8. Promotions, Discounts, Gift Cards, and Store Credit

We may from time to time offer promotional codes, discounts, sales, or other special offers. Unless expressly stated, these offers cannot be combined, are valid for a limited time, apply only to eligible Products, have no cash value, and may be modified or discontinued at any time. We reserve the right to cancel or void any Order or discount where we reasonably believe a code or promotion has been obtained or used fraudulently, in error, or in violation of its terms. Gift cards and store credit, if offered, are non-refundable, cannot be redeemed for cash except where required by law, and are subject to any additional terms presented at the time of issuance.

9. How to Place an Order

To place an Order, you add Products to your cart and complete the checkout process by providing the required shipping, billing, and payment information. Before submitting your Order, you are responsible for reviewing your cart, selected sizes and quantities, shipping address, and total cost. By submitting an Order, you make an offer to purchase the selected Products subject to these Terms. After you submit an Order, you will receive an order confirmation email acknowledging that we have received your Order.

10. Order Acceptance, Cancellation, and Refusal

Our acceptance of your Order, and the formation of a contract between us, occurs only when we ship the Products to you, not when you receive an order confirmation email. We reserve the right, at our sole discretion, to accept, refuse, limit, or cancel any Order for any lawful reason, including but not limited to: Product unavailability, errors in pricing or Product information, suspected fraudulent or unauthorized activity, ordering quantities that exceed limits we set, or problems identified by our fraud-prevention systems. If you wish to cancel or change an Order after it has been placed, please contact us as soon as possible at support@modabold.com; we will make reasonable efforts to accommodate your request, but we cannot guarantee changes once an Order has entered processing or shipping.

11. Payment Terms and Authorization

We accept the payment methods displayed at checkout. By providing a payment method, you represent and warrant that you are authorized to use it and you authorize us and our third-party payment processors to charge the full Order amount, including Products, taxes, and any applicable fees, to that payment method. All payment information is processed by PCI-compliant third-party processors; we do not store complete payment card numbers. If your payment is declined, cannot be processed, or is later reversed, we may suspend or cancel your Order and reserve all rights and remedies available to us.

12. Shipping, Delivery, Title, and Risk of Loss

We currently ship within the United States only. Processing times, estimated delivery windows, shipping rates, tracking, and related details are set out in our Shipping Policy, which is incorporated into these Terms by reference. Delivery estimates are not guaranteed, and we are not responsible for delays caused by carriers, weather, incorrect addresses, or other events beyond our reasonable control. Title and risk of loss for all Products pass to you upon our delivery of the Products to the carrier.

13. Returns, Refunds, and Exchanges

Our practices regarding returns, refunds, and exchanges are described in our Returns & Refunds Policy, which is incorporated into these Terms by reference. Please review that policy carefully before purchasing. To initiate a return or report a problem with your Order, contact us at support@modabold.com with your order number and details.

14. Electronic Communications and Consent

By using the Site, creating an account, or placing an Order, you consent to receive communications from us electronically, including emails and notices posted on the Site. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. You may withdraw consent to receive non-transactional communications at any time, but we may still send you communications related to your Orders and account.

15. Email and SMS Marketing

If you opt in to receive marketing communications, you may receive promotional emails and, where you provide your mobile number and consent, recurring marketing text messages. Message frequency varies. Message and data rates may apply. You can unsubscribe from marketing emails at any time using the “unsubscribe” link in any email. For SMS, you can opt out at any time by replying STOP, and you can reply HELP for assistance. Consent to receive marketing messages is not a condition of any purchase. Carriers are not liable for delayed or undelivered messages.

16. Intellectual Property Rights

All Content on the Site, including the compilation, arrangement, and “look and feel” of the Site, is owned by or licensed to ModaBold and Azinko LLC and is protected by United States and international copyright, trademark, and other intellectual property laws. Except for the limited license granted in Section 5, nothing in these Terms transfers any ownership or intellectual property rights to you. You may not copy, reproduce, distribute, modify, publicly display, create derivative works from, or otherwise exploit any Content without our prior written consent.

17. Trademarks

“ModaBold” and our logos, product names, and slogans are trademarks of ModaBold or Azinko LLC. You may not use these trademarks without our prior written permission. All other trademarks, service marks, and trade names appearing on the Site are the property of their respective owners, and their appearance on the Site does not imply any endorsement or affiliation.

18. Copyright Complaints

We respect the intellectual property rights of others. If you believe that any Content on the Site infringes your copyright, please send a written notice to support@modabold.com that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work you claim has been infringed; (c) identification of the material that you claim is infringing and its location on the Site; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf. We will respond to valid notices in accordance with applicable law.

19. User-Generated Content and Feedback

You may have the opportunity to submit reviews, ratings, comments, photographs, or other User Content. By submitting User Content, you grant ModaBold a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display that User Content in any media in connection with our business and marketing. You represent and warrant that you own or control all rights to the User Content you submit, that it is accurate, and that it does not violate these Terms, any law, or the rights of any third party. We are not obligated to publish or retain any User Content and may remove it at our discretion. Any feedback, suggestions, or ideas you provide may be used by us without any obligation to you.

20. Prohibited Uses

You agree that you will not, and will not permit others to:

• Use the Site or Services in violation of any applicable law, regulation, or these Terms.
• Infringe or misappropriate the intellectual property or other rights of any party.
• Provide false, inaccurate, misleading, or fraudulent information, or impersonate any person or entity.
• Upload or transmit viruses, malware, or any other malicious or harmful code.
• Attempt to gain unauthorized access to the Site, other user accounts, or our systems or networks.
• Use any robot, spider, scraper, or other automated means to access the Site or collect data without our express written permission.
• Interfere with, disrupt, or place an unreasonable burden on the Site, its infrastructure, or its security.
• Engage in any conduct that harasses, abuses, threatens, or harms any person, or that is otherwise objectionable.
• Resell, duplicate, or exploit any portion of the Site or Services for commercial purposes without authorization.

21. Third-Party Links, Tools, and Services

The Site may contain links to, or integrate, third-party websites, tools, applications, or services that we do not own or control, including payment processors, analytics, and advertising providers. We provide access to these for your convenience and are not responsible for their content, accuracy, availability, policies, or practices. Your use of any third-party website or service is at your own risk and subject to that third party’s terms and policies.

22. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Site, Services, and all Products are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, accurate, complete, timely, or free of errors, viruses, or other harmful components, or that any defects will be corrected. No advice or information, whether oral or written, obtained from us or through the Site creates any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

23. Limitation of Liability

To the fullest extent permitted by law, in no event shall ModaBold, Azinko LLC, or their affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation damages for loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your access to or use of, or inability to access or use, the Site, Services, or Products, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if we have been advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms, the Site, the Services, or the Products shall not exceed the greater of the amount you paid to us for the Product(s) giving rise to the claim or fifty US dollars (USD $50). Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you.

24. Indemnification

You agree to defend, indemnify, and hold harmless ModaBold, Azinko LLC, and their affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with: (a) your access to or use of the Site, Services, or Products; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any User Content you submit.

25. Errors, Inaccuracies, and Omissions

The Site may occasionally contain typographical errors, inaccuracies, or omissions that may relate to Product descriptions, pricing, promotions, offers, availability, or shipping. We reserve the right to correct any such errors and to change or update information, or to cancel Orders, at any time without prior notice, including after an Order has been submitted, even if your payment has been processed (in which case we will issue a refund).

26. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, share, and protect your personal information. By using the Site, you consent to the practices described in our Privacy Policy, which is incorporated into these Terms by reference.

27. Force Majeure

We will not be liable or responsible for any failure or delay in performing our obligations where such failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, fire, flood, severe weather, epidemics or pandemics, war, terrorism, civil unrest, labor disputes, governmental actions, power or internet outages, supplier or carrier failures, or other events of force majeure.

28. Governing Law and Venue

These Terms and any dispute or claim arising out of or relating to them, the Site, the Services, or the Products shall be governed by and construed in accordance with the laws of the State of Florida and applicable United States federal law, without regard to conflict-of-law principles. Subject to Section 29, you agree that the state and federal courts located in Miami-Dade County, Florida shall have exclusive jurisdiction and venue over any dispute, and you consent to personal jurisdiction in those courts.

29. Dispute Resolution; Binding Arbitration; Class Action Waiver

Informal resolution. Before bringing any formal claim, you agree to first contact us at support@modabold.com and attempt in good faith to resolve the dispute informally. We will do the same.

Binding arbitration. If we cannot resolve a dispute informally, you and ModaBold agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site or Products that cannot be resolved informally shall, to the fullest extent permitted by law, be resolved by binding individual arbitration rather than in court, except that either party may bring an individual claim in small-claims court where eligible. The arbitration shall be conducted in accordance with the rules of a recognized arbitration provider, and judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. To the fullest extent permitted by law, you and ModaBold agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. Some jurisdictions do not permit certain arbitration or class-waiver provisions, in which case those provisions may not apply to you, and the remainder of this section shall continue to apply to the extent permitted by law.

Time limit. To the extent permitted by law, any claim must be brought within one (1) year after the cause of action arises, or it is permanently barred.

30. Termination

We may suspend, restrict, or terminate your access to all or part of the Site or Services, and refuse any current or future use, at any time and at our sole discretion, with or without notice, including for any violation of these Terms. Upon termination, your right to use the Site immediately ceases. All provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution.

31. Assignment

You may not assign or transfer these Terms, or any of your rights or obligations under them, without our prior written consent. We may freely assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors and assigns.

32. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, that provision shall be deemed severable and shall be modified or limited to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

33. No Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of ModaBold, and a waiver of any breach shall not constitute a waiver of any subsequent breach.

34. Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, Returns & Refunds Policy, and any additional terms or policies referenced herein or presented at the point of purchase, constitute the entire agreement between you and ModaBold regarding your use of the Site, Services, and Products, and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral.

35. Headings and Interpretation

The section headings in these Terms are for convenience only and have no legal or contractual effect. The words “including” and “include” are deemed to be followed by “without limitation.” These Terms shall not be construed against the drafting party.
